Toyota Tsusho Auction Terms of Service

Service overview

  1. Toyota Tsusho Auction (hereinafter referred to as TTA) is a used car purchase service (hereinafter referred to as the Service) operated by Carpaydiem Co., Ltd. (hereinafter referred to as CPDM) for customers outside Japan.
  2. TTA, through Toyota Tsusho Corporation, the parent company of CPDM, posts information on vehicles exhibited by the group's used car auction companies TAA and CAA, and discloses this information to overseas customers.
  3. Overseas customers can purchase vehicles listed in the Service through a bidding method.
    * Bidding method: Customers submit their desired purchase price for the featured vehicle to CPDM on the EC site (carused.jp) before the auction begins. If the auction result is lower than the desired purchase price, the customer can purchase the vehicle.
  4. For vehicles that can be purchased, a sales contract will be established between CPDM and the customer, and subsequent payments and logistics arrangements will be made under the same conditions as general customers on CPDM's EC site.

Application qualifications

Those who wish to apply for the use of this service must meet the following conditions:

  1. Agree to and comply with the Terms of Service of CPDM
  2. Pay TTA participation deposit to CPDM
  3. There are no payment arrears.
  4. The customer must have no history of suspension or suspension of this service in the past.
  5. Do not use the information posted on TTA for any purpose other than its original purpose.
  6. Not to be an anti-social force or terrorist, or to have any involvement with anti-social forces or terrorists.

Usage application / change

  1. Customers become TTA members on the CPDM website and pay a deposit.
  2. Only one account can be used per customer (one company).
  3. End users or used car buyers can be customers. As a buyer, you can show this service to end users for the purpose of promoting business negotiations regarding used car sales, etc.

Obligation to manage ID

  1. Customers must fully recognize the importance of their IDs and manage them, and must not disclose, leak, or allow them to be used by any third party for purposes other than those stipulated in “Toyota Tsusho Auction Terms of Service” (hereinafter referred to as these Terms of Use).
  2. The customer shall bear all responsibility arising from improper management of ID, etc.
  3. Customers must comply with the laws and regulations of the country and region in which they use the product when using the Service.
  4. Photos and vehicle information of the TTA vehicle purchased by the customer may be posted on the customer's own homepage or other media if necessary.

Obligation to update customer information

If there is a change in the registered information, the customer shall promptly change or update it.

Update of terms and service content

Customers agree that CPDM may change these Terms of Use and service content at any time if changes occur.

  1. Customer must pay membership fee and deposit as specified above to CPDM.
  2. Monthly membership fee, security deposit, and maximum purchase amount are as above.
  3. The monthly membership fee shall be deducted from the security deposit. However, this does not apply if the amount of the security deposit does not meet the total amount of the monthly membership fee.
  4. In the event of changes in economic conditions or prices, CPDM may change the monthly membership fee, and the customer shall comply with this.
  5. Even if the usage is less than one month, the monthly membership fee shall be paid for one month.
  6. Payment for the vehicle shall be made by bank transfer.

Obligation to maintain confidentiality

  1. Customers must not divulge information obtained through this service to third parties.
  2. Customers must instruct end users not to leak information passed to them to third parties.
  3. If a customer leaks information, CPDM can claim for damages caused by the leak of the information.
  4. In case of unauthorized leakage, you must immediately report it to CPDM.

Access Restrictions

Prohibit the following access methods:

  1. Browsing through frequent browser operations in a short period of time.
  2. Access using machines, macros, etc.
  3. Access under unauthorized environment.
  4. Other acts that place an excessive load on the CPDM server.

Prohibition of transfer of rights

Customers may not transfer the rights and obligations arising from this service to a third party or provide them as collateral.

Cancellation Policy

  1. The Customer may cancel the purchase of the Products by paying us the greater of 15% of the purchase price or USD 1,500 before we hand over the Products to the carrier for shipment to the Customer.
  2. The customer may cancel the purchase of the product by paying the full purchase price plus any general costs incurred at the destination of delivery to the company after the company has handed over the product to the carrier for shipment to the customer.
  3. If after the product is shipped, the user does not comply with the payment terms and the payment is delayed for more than 7 days, we reserve the right to cancel the contract and charge 50% of the purchase price as a cancellation fee.
  4. If you cancel for any reason, we may take up to 60 days to complete your refund, and you will be responsible for all costs incurred in connection with such refund request.

Disclaimer

  1. Damage due to removal from the auction yard, operation check, or movement, deterioration due to wind and rain during storage, or other causes not attributable to CPDM (e.g., flying stones that occur during transportation, lack of tread on tires, deterioration, wear and tear on belts, etc.) CPDM shall not be held responsible for any damage caused by aging of parts, etc.), including damage caused to third parties.
  2. CPDM will not be held responsible for the failure of a successful bid due to some malfunction. Additionally, CPDM is not responsible for any damage caused by the following:

    1. Loss in the event that the provision of this service is stopped or a defect occurs due to a failure or defect in communication equipment, communication lines, system equipment such as computers, or programs, etc.
    2. Loss in the event that the Service system is stopped or defects occur due to interference, intrusion, information modification, etc. to the Service system by a third party.
    3. Damages in the event that services cannot be provided due to failures or defects in communication equipment, communication lines, computers, or other system equipment or programs used by the customer, or computer viruses, etc.
    4. Loss due to interruption of this service or errors or defects in the information provided. However, this does not apply if CPDM is intentionally or grossly negligent.
    5. Loss in the event of malfunction of system equipment or programs due to natural disasters or other abnormal circumstances.
    6. Damages due to lost opportunities arising from 1 to 4 of this article.
    7. Damages caused by the customer's failure to manage ID, etc.

Disputes between customers and end users

  1. If a dispute arises between a customer and an end user regarding the use of this service, it shall be resolved at the customer's responsibility, and CPDM is not responsible for the dispute.
  2. If CPDM suffers damage due to a dispute between a customer and an end user, the customer shall be liable for compensation for the damage suffered by CPDM.

Warranty

  1. Regarding the information provided in this service, CPDM does not guarantee the usefulness, suitability, accuracy, safety, legality, reapplication, authenticity, or other matters of the information, and is not responsible for it.
  2. CPDM is not responsible for any damage caused by the use of this service by customers or end users, or any other damage incurred in connection with this service.

Prohibited matters

  1. Customers must not do the following acts:

    1. Act of misappropriating all information including text, images, etc. of TTA without permission.
    2. Acts of using TTA vehicle images, information, etc. without permission or transferring them to others.
    3. Act of reporting or registering false information to CPDM.
    4. The customer will act in a manner that CPDM deems to damage the credibility of CPDM and interfere with the interests of end users, or that there is a risk of doing so.
    5. Acts of allowing multiple end users to use the same ID, etc.
  2. If the customer commits the illegal act mentioned in the preceding paragraph and obtains unfair profits as a result, the customer will pay CPDM a penalty equivalent to the amount of profits the customer gained from the illegal procedure or the amount of damage suffered by CPDM. We may charge the higher of these two amounts.

Suspension or termination of use

  1. If the customer falls under any of the following, CPDM may suspend or terminate the use of this service without notice.

    1. When the customer violates these Terms of Use or other contents stipulated in the CPDM T&C.
    2. When the customer loses application eligibility or CPDM membership status.
    3. When there is arrears in membership fees, other payments, etc.
    4. When a customer files for bankruptcy, civil rehabilitation proceedings, or corporate reorganization law.
    5. When a customer causes a criminal case and is found guilty by a court.
    6. When there is any other behavior that is inappropriate for a CPDM member.
  2. If CPDM suffers damage due to the suspension of use as stated in the preceding paragraph, the customer must compensate CPDM for the damage suffered.

Cancellation

Customers may cancel this service by filling out the necessary information in the cancellation notification prescribed by CPDM and submitting it to CPDM. In this case, this service will be terminated on the last day of the month in which the cancellation notification reaches CPDM.

Governing law

The governing law of these Terms of Use shall be Japanese law.

Agreed jurisdiction

In the event that a dispute arises between the customer and CPDM regarding this service, both parties agree that the court with jurisdiction over the dispute shall be the Tokyo District Court.
